Obesity Medicine Association Terms of Use

1. Acceptance of Terms

a. The websites, applications, service products, resources, and other services (the "Services") provided by Obesity Medicine Association Inc. ("OMA") are available to you only if you agree to these Terms without modification. By using the Services, you accept these Terms.

b. You may view the most current version of these Terms at any time by clicking the Terms of Use link on obesitymedicine.ai or within the Obesity Medicine Clinical Intelligence app.

2. Eligibility

a. The Services are intended solely for medical professionals.

b. By using the Services, you confirm you are authorized and eligible to use them and not barred from access.

3. Privacy

a. Your use of the Services is governed by OMA's Privacy Policy, which describes our data collection and usage practices.

b. Please review the Privacy Policy carefully before using the Services.

4. Electronic Communications

a. By using the Services or emailing OMA, you consent to receive electronic communications from OMA.

b. These communications include agreements, notices, and disclosures, which satisfy any legal requirements for written communication.

5. Account Responsibility

a. You are responsible for maintaining the confidentiality of your account and password.

b. You accept full responsibility for all activities occurring under your account.

c. You may not transfer or assign your account to others.

d. OMA is not liable for unauthorized access due to your failure to safeguard your credentials.

e. OMA reserves the right to refuse, suspend, or terminate accounts and remove content at its sole discretion.

6. Subscriptions and Payments

a. Paid subscriptions automatically renew unless canceled before the end of the current period.

b. Cancellation becomes effective the day after the subscription period ends.

c. No refunds or credits will be provided for partial subscription periods.

d. All content purchases (books, articles, augmentations, etc.) are final and non-refundable.

e. Contact Customer Support for assistance with cancellations or account issues.

7. AI-Powered Features

a. Certain Services may incorporate artificial intelligence ("AI") features, including chatbot functionality.

b. AI-generated outputs are provided for informational purposes only and do not constitute medical advice, diagnosis, or treatment recommendations. You are solely responsible for independently verifying any AI-generated content before relying on it in a clinical or professional setting.

c. OMA does not guarantee the accuracy, completeness, or reliability of AI-generated outputs and disclaims all liability arising from your reliance on such outputs.

8. Third-Party Links and Services

a. The Services may include links to third-party websites ("Linked Sites"), which OMA does not control or endorse.

b. OMA is not responsible for the content, changes, or availability of Linked Sites.

c. Some Services are delivered with the assistance of third-party service providers under contract with OMA; your data may be shared as necessary to provide these services.

9. Use Restrictions and Intellectual Property

a. Permitted Use

i. You are granted a limited, non-exclusive, non-transferable license to access and use the Services according to these Terms.

ii. You agree not to use the Services unlawfully or in a way that harms the Services or other users.

b. Intellectual Property

i. All content, including text, graphics, logos, images, and software, is owned by OMA or its licensors and protected by law.

ii. You may not copy, modify, reverse engineer, distribute, create derivative works from, or resell any content without explicit written permission.

iii. Use of the content is solely for your personal, non-commercial use.

iv. You do not acquire any ownership rights in the content by using the Services.

10. Communication Services

a. The Services may include features that allow communication with others (forums, chat, bulletin boards, etc.).

b. You agree to use Communication Services only for lawful and appropriate purposes.

c. Prohibited conduct includes, but is not limited to:

• Harassment, defamation, threats, or violation of others' rights.
• Posting unlawful, obscene, infringing, or inappropriate content.

• Conducting surveys, contests, pyramid schemes, or chain letters.

d. OMA may monitor, remove content, or terminate access at its discretion without notice.

e. OMA disclaims liability for user-generated content and is not responsible for communications posted.

f. Exercise caution when sharing personal information in Communication Services.

11. User Submissions

a. You retain ownership of content you submit ("Submissions") but grant OMA and affiliates a worldwide, royalty-free license to use, reproduce, display, and distribute your Submissions.

b. No compensation will be paid for use of your Submissions.

c. OMA may remove or refuse any Submission at its discretion.

d. You warrant that you own or control all rights necessary to grant these permissions.

12. Third-Party Account Linking

a. Connecting your OMA account to third-party accounts consents to the sharing of information per those third parties' privacy settings.

b. Do not use this feature if you do not wish to share information.

13. International Use

a. The Services are operated from the USA.

b. If accessing from outside the USA, you must comply with all local laws and restrictions.

c. You agree not to use the Services in any jurisdiction where prohibited.

14. Indemnification

a. You agree to indemnify and hold harmless OMA, its officers, employees, and affiliates from any claims, losses, damages, liabilities, and expenses arising from your use of the Services or violation of these Terms.

15. Dispute Resolution and Arbitration

a. Any disputes arising under these Terms shall be resolved exclusively by binding arbitration under the Federal Arbitration Act.

b. Arbitration shall be conducted by a single neutral arbitrator and administered by the American Arbitration Association or similar.

c. The arbitration location will be mutually agreed upon by the parties.

d. The arbitrator's decision is final and binding, and the prevailing party may recover costs and attorney's fees.

e. Class or representative actions are waived; arbitration shall proceed on an individual basis.

16. Liability Disclaimer

a. The Services and all content are provided "as is" without warranties of any kind.

b. OMA disclaims all implied warranties including merchantability and fitness for a particular purpose.

c. OMA is not liable for any damages arising from use or inability to use the Services, to the extent permitted by law.

d. Some jurisdictions do not allow certain limitations of liability; those limitations may not apply to you.

e. Your sole remedy for dissatisfaction is to stop using the Services.

17. Termination and Access Restriction

a. OMA may terminate or restrict your access at any time without notice.

b. These Terms are governed by New York law, and you consent to exclusive jurisdiction in New York courts.

c. No agency, partnership, or employment relationship is created by these Terms.

d. If any provision is found invalid, it shall be replaced with a valid provision closest to the intent, and the rest of the Terms shall remain in effect.

e. These Terms constitute the entire agreement between you and OMA.

18. Changes to Terms

a. OMA may update these Terms at any time in its sole discretion.

b. The most current Terms supersede all prior versions.
